Purpose of IR Activities and Basic Stance
RISA Partners, Inc. and affiliated companies (hereafter, collectively referred to as “the Company”) conducts IR activities to provide all stakeholders of the Company, including shareholders and investors, with information on the Company’s business conditions, financial standing, etc. in a fair and prompt manner and strives to gain their accurate understanding of the content contained therein. Through these steps, the Company seeks to gain the trust and reasonable assessment of stakeholders.
Standards for Disclosure
The Company discloses information in such cases as when there are information concerning decisive facts and information concerning emerging facts that will materially impact decisions on securities investment or information concerning financial accounts and when there are substantial changes, cancellations, etc. to the content of material corporate information that have already been disclosed. The Company conducts disclosure pursuant to the Securities and Exchange Law, Financial Instruments and Exchange Law and other applicable laws and regulations as well as the “Rules on Timely Disclosure of Corporate Information by Issuers of Listed Security and the Like” (hereafter, the “Timely Disclosure Rules”) stipulated by the Tokyo Stock Exchange, Inc. In addition, the Company is committed to proactively disclosing even the content of announcements made at corporate meetings and other information not required by the Timely Disclosure Rules.
Methods of Disclosure
Information required by the Timely Disclosure Rules is disclosed via the Tokyo Stock Exchange’s timely disclosure network system (TDnet) in compliance with the Timely Disclosure Rules. The Company strives to promptly post the disclosed information on this website. However, please be advised that the posting of information on this website may be delayed from external announcements (TDnet posting and distribution of press releases to various press clubs) by a certain period of time due to preparations of tools and other reasons.
Quiet Period
The Company observes a quiet period of about two weeks prior to the announcement of financial results for each quarter to prevent the leakage of information that may impact stock prices during the period when materials for announcing financial results are being prepared and to ensure fairness in information disclosure. During this quiet period, the Company will refrain from commenting or responding to inquiries on financial results and business performance forecasts. However, information will be promptly disclosed when an event that arises during the concerned period constitutes information that is required to be disclosed by the Timely Disclosure Rules.
