Agreement on transfer of shares in Direx Corporation and transfer of subsidiary

RISA Partners, Inc. today announced that it has resolved to enter into a share transfer agreement with non-listed company Sundrug Co., Ltd. regarding shares in Direx Corporation currently held by a corporate investment fund operated and managed by RISA Partners along with shares in Direx to be acquired RISA Partnes via a tender offer.
